Annual Returns
To remain incorporated, every company in Alberta must file an “annual return” upon the anniversary of their incorporation date. The process may unfold as follows:
- Via mail, you will receive a pre-printed government form.
- You are mandated to go to a registry to file this form within 18 months of your incorporation anniversary.
- In the event that you should fail to file your annual return within the 18 months, your corporation will be deemed dissolved.
NUANS Searches
What is a NUANS search? A NUANS search is the process of looking to see if a suggested corporate name has already been taken or not. If it has not, the name will be reserved for a period of 90 days. This is then considered a part of the incorporation process and the NUANS search will be required as part of your incorporation documents. You will not be required to provide a NUANS report if you are incorporating a numbered company.

What exactly is a corporate search?
A corporate search is a detailed process by which a database of current and historical corporations are detailed. This allows the searcher to determine a corporation’s name and registered address.
What is a NUANS report?
A NUANS report – or “Newly Upgraded Automated Name Search” is a process that compares a proposed corporation name with an existing database of both Albertan and Canadian corporations. If you are planning to incorporate (and not using a numbered company) you will not be allowed to do so if you have a very similar or the same name as another corporation.
What are the steps to incorporating a business in Alberta?
You can incorporate a business with Goldkey in a few easy steps. Consider the following 6-step process:
- Choose a numbered company or select a name. You can skip the next step if using a numbered company.
- Get a NUANS report to ensure no other corporation has the same name as you.
- Fill out your Articles of Incorporation. You can receive this in-person or online.
- Register your company’s official address in a Notice of Address. Note that this address must be in Alberta.
- Elect/appoint at least one director and register them in a Notice of Directors.
- Submit your application package with Goldkey, including all of the above information with the presentation of a valid ID and submission of a fee payment.
